    Investor Consultation and Due Diligence

    Investing in a tech venture is a high-risk undertaking. After spending time and money reviewing the technology, investors are left with unclear opinions, given by people without the experience required to deliver clear opinions upon which to make decisions. Sometimes investors receive misguided opinions which recommend them not to invest in a given technology, causing them to miss valuable opportunities. 

    Our firm accompanies and advises investors in the decision-making process regarding investment options in various companies and projects, from the "simple" task of consulting regarding a specific commercial agreement, to a full hand-on legal counseling in a due diligence process.

    As part of our examination, we review, among other things, the company's documents and their integrity, the company's conduct, agreements with its employees, suppliers and external bodies and more, as well as documents related to specific projects that are important to investors. This type of counseling and due diligence process requires the professional team involved to be experienced and proficient in the field. 

    Our firm assembles the most appropriate and skilled team for each client and case. In some cases, an in-depth examination of the company's intellectual property assets is required, and a special team consist of lawyers and patent attorneys from the Group's patent law firm is formed on order to provide comprehensive counsel on both technological, legal and commercial matters.

    Why is it imperative to perform a due diligence examination before investing in a venture?

    A due diligence examination is designed to expose flaws and imperfections in the various aspects of the venture’s constitution and operations, which may have a substantial impact on the venture’s value, its prospects of growth, and the investor’s exposure to business, financial and legal risks upon consummating the investment transaction.

    What does a due diligence examination entail?

    A due diligence examination typically entails a professional inspection, analysis, and evaluation of the IP, finance, taxation, internal and external contractual engagements, litigation risk exposure, regulatory compliance and corporate governance, registration, and constitution aspects related to the target venture and its business operations.  Such inspection will cover relevant documentation and records as well as target venture officers’ certificates to be issued on demand on certain matters.  

    Why is it essential to clearly understand the company's IP status before investing?

    More often than not, and even more so when it comes to technology-based ventures in their early stages, IP constitutes the most important single factor in determining the venture’s value and future growth prospects. Material flaws and imperfections in the IP assets of the venture may therefore have a substantial impact on the desirable terms and conditions and possibly the viability of the contemplated investment,
